2020年以来,中国市场监管总局反垄断监管落下重锤,阿里、美团、腾讯等企业相继被罚,以警示从事经营者集中的平台企业要加强反垄断合规管理工作,依法进行经营者集中申报,维护良好市场竞争格局。
中央财经委员会第九次会议强调,要从构筑国家竞争新优势的战略高度出发,坚持发展和规范并重,更好统筹发展和安全、国内和国际,促进公平竞争,反对垄断,防止资本无序扩张。
平台经济已经成为全球最重要的商业模式和新型经济形态,因其独特的跨界竞争、动态竞争、“赢者通吃”、高度聚集化等特点,有关行为的竞争影响更加复杂,是全球反垄断执法机构面临的共同挑战。
平台具有以数据为生产要素、数字技术为支撑、多边性、开放性、资源配置独特性以及网络效应、锁定效应与杠杆效应等特征,易引发经济社会各领域的“数字蝶变”,超级平台成长迅速、规模巨大、业务范围宽广,正在改变着人们的社会生活和经济生活,拥有很强的社会动员能力和社会秩序塑造能力,在给社会带来效率改善和消费者福利增加的同时,也可能带来了如损害个人隐私等一系列明确或潜在的风险,其中竞争风险的规制问题已引发全球关注。
当前全球政治与经济环境变得更加复杂而不确定,商业社会的节奏正在变得越来越快,作为一个未来的商业领袖,具有全球视野和跨文化管理的复合型能力越来越重要,而iMBA课堂中要求的案例阅读、沟通表达、思辨训练无疑是一种相对比较仿真的练习。

Dr. Timothy Klatte is the adjunct professor from Webster University. He is a multilingual, DBA Graduate, leading the Shanghai Forensic Advisory Services business for Grant Thornton in Shanghai, China.
He has formerly served as a U.S. Foreign Service Officer and Deloitte Forensic Partner with extensive leadership experience in business & competitive intelligence, sales, due diligence investigations, marketing & China macro/micro economic forces that have shaped boardroom decisions and foreign policy.
He hold 26 years of China-related experience, of which nearly 14 years has been working in Shanghai for two leading global accounting firms and a premier Chinese investment management company.

From the Sherman Act in 1890 until today, the focus on Anti-Monopoly enforcements has increased globally, even reaching the shores of China during the past 2-3 decades. The last 130 years has witnessed anti-trust activity across all industries and geographies.
In China, SAMR (State Administration for Market Supervision) has developed a clear approach to combatting monopolistic behavior, and the US$2.8 Billion enforcement against Alibaba in April is a shot across the bow that it’s not only not tolerated but will be dealt with expediently.
For the iMBA students, having a deep appreciation of anti-monopoly history, knowing the significant events, and understanding the logic behind the decisions allow them to apply and discuss intelligently the impact on today’s market in China. Using case studies, such as the Microsoft Anti-Trust case, with real-time news in China is a well-rounded approach.

A couple of weeks after the last class of our Anti-Competition & Anti-Monopoly course, I talked to the instructor, Dr. Tim Klatte, about the class’s importance during the 2021 Fall 2 Semester. He recounted early in the class that Alibaba had been reprimanded by China’s SAMR (State Administration for Market Supervision) for being anti-competitive.
“The official announcement of the penalty came at 9am on Saturday, April 10th – just 30 minutes after the class started. Students were scrambling on their phones, whispering at the landmark fine, and at that time, I knew I had to change the lesson plan and talk about this in real-time with everyone – SAMR had just announced a US$2.8 billion fine against Alibaba for its anti-competitive practices,” Dr. Klatte said, continuing – “SAMR has developed a clear approach to combatting monopolistic behavior, and the US$2.8 Billion enforcement against Alibaba in April is a shot across the bow that it’s not only not tolerated but will be dealt with expediently.”
Dr. Klatte points out that the U.S. Congress created the original Sherman Anti-trust Act in 1890 to promote competition & protect consumers, assuring that the consumers get high quality and reasonable prices with options. When more makers and sellers enter the market, consumers benefit from choice and innovative products and services. Since the Sherman Act was introduced, other iterations have matured the anti-monopoly law, such as the Clayton Act and the Federal Trade Commission.
In China, SAMR has warned other highly successful companies in the tech area of Beijing, including Tencent and housing platforms Lianjia and Beike. Tencent developed itself from communications roots, that is, social media and gaming, but it looks like Berkshire Hathaway, but focused on e-commerce applications.
China’s giant e-commerce market could not operate without packers, pickers, and delivery drivers. Different sources estimate there are between 4-6 million people are just delivering. Most of these workers leave rural areas of China to deliver packages and food in the large cities. Alibaba and Tencent-invested companies own nearly 100% of the delivery market. Drivers are paid poorly, live in marginal housing, have no health insurance, and are badgered to deliver more quickly.
Anti-competition comes into play when there are few choices available to workers to find better conditions. Bad conditions are another form of monopoly.

在学习反垄断课程之前,反垄断与我来说是一个庞大的且与个人相关性不大的课题。然而,从过年的电影票水涨船高,到买根葱都被BAT等科技巨头包围,我才深刻体会到反垄断这个课题其实是关乎到每个人的切身利益。
Tim教授诙谐幽默深入浅出的教学风格,充分发挥了我们学习的主观能动性,在课堂上学习了现有的反垄断理论和实践,以及讨论该领域正在出现的各种案例。不仅如此,我们还深入分析反垄断的相关问题,例如商业道德、白领犯罪、吹哨人等。
最后引用人民日报的那句话:不要总惦记着小商小贩手里的那几棵白菜,真正的科技创新才是星辰大海!

很有幸在今年的选修课中学习了Tim Klatte教授讲授的反垄断课程,这次已经是第二次跟随Tim教授学习了。在2019年,曾跟随Tim教授学习过全球化课程。Tim教授的授课特点是治学严谨,教案准备相当充分,课堂知识点讲解精辟,知识理解和案例分析穿插,课堂讨论和小组合作分享相结合。课程从反垄断的历史起源出发,将政府立法、管控和时事相融合,延伸到企业并购、知识产权保护、合规和反腐败,形成立体的知识体系。近年来,国家反垄断大戏不断上演,群众们看得好不热闹。在这样的历史背景下,学习反垄断课程很有裨益,使我们对当前的反垄断案件有了深入的认识和理解,也让我们不断反思企业经营和管理。

2020年疫情使我们生活的面貌发生了变化,我们面对生活的态度随之改变。或思考、或行动。在机缘和计划的促使下,我进入了上财商学院,我原本以为研究生的学习是我最大的改变,没想到课程的影响更甚。
随着基础课程的加深,逐渐进入到了核心课程和选修课程。运气使然,我选到了会说“河南话”的美国教授Tim的《反垄断》课程。
轻松愉快、普通话、河南话和英文交错的课堂中,我们深深的体会到了“反垄断”不仅仅是高谈阔论的高端话题,而是穿插我们每个人息息相关的生活中,而且未来将会越来越紧密。
辩论、团队作业、演讲作业对知识点的贯通无比流畅,让我更加对这位“中国通”的美国教授佩服万分。尤其是期末考试的最后看图选教授的大题,把Tim教授美式幽默突出的淋漓尽致。
这是一门非常有趣、生动的课程,师弟师妹一定要把握好选Tim教授课程的机会哦。
